Calmspire Terms and Conditions

Effective: 24 September 2026

These Terms and Conditions (“Terms”) govern your access to and use of the Calmspire application, website and related services (together, the “Service”).

Please read these Terms carefully before using Calmspire. By creating an account, accessing the Service, subscribing to a paid plan, or otherwise using Calmspire, you confirm that you have read, understood and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use Calmspire.

1. About Calmspire

1.1. Who we are

Calmspire is operated by Calmspire LTD, a company incorporated in England and Wales.

Company number: 16429147

Registered office: 124 City Road, London, England, EC1V 2NX.

Email: hello@calmspire.co.uk

In these Terms, “Calmspire,” “we,” “us” and “our” refer to Calmspire LTD.

“You”, “your” or “user” means any person who accesses or uses the Service.

1.2. What Calmspire is

Calmspire is a digital emotional wellness platform designed to help users develop greater awareness of their emotional wellbeing, explore wellbeing practices, reflect on patterns and access tools intended to support calm, clarity, resilience, connection and everyday wellbeing.

Depending on the version of Calmspire available to you, the Service may include:

  • wellbeing check-ins;
  • reflective exercises;
  • grounding and breathing exercises;
  • educational wellbeing content;
  • personalised wellbeing recommendations;
  • mood and wellbeing tracking;
  • journaling or written reflections;
  • wellbeing patterns and summaries;
  • lifestyle and self-care tools;
  • digital wellbeing resources;
  • community or discussion features;
  • notifications and reminders;
  • referrals or signposting to external services;
  • AI-assisted features; and
  • other wellbeing features introduced from time to time.

Not every feature will necessarily be available to every user, location, subscription plan or device.

2. Important wellbeing disclaimer

2.1. Calmspire is not healthcare

Calmspire is designed for general emotional wellbeing, self-awareness, and self-management.

Calmspire is not a substitute for a doctor, psychiatrist, psychologist, therapist, counsellor, emergency service or other qualified healthcare professional.

Unless expressly stated otherwise in writing by Calmspire, the Service is not intended to:

  • diagnose a medical or mental health condition;
  • prevent or predict a medical or mental health condition;
  • treat, cure or manage a diagnosed medical or mental health condition;
  • provide medical advice;
  • provide psychological diagnosis;
  • provide clinical assessment;
  • provide emergency medical or psychiatric care;
  • determine whether a person has a particular mental health condition; or
  • replace professional healthcare.

The information, exercises, recommendations, insights and other materials provided through Calmspire are intended for general wellbeing and informational purposes.

2.2. No professional relationship

Use of Calmspire does not create a doctor-patient, therapist-client, psychologist-client, counsellor-client or other healthcare professional relationship between you and Calmspire or any person contributing content to the Service.

Where Calmspire provides information created or reviewed by qualified professionals, this does not by itself create a professional healthcare relationship with you.

2.3. Individual experiences differ

Wellbeing practices can affect people differently. An exercise, recommendation or piece of information that is helpful for one person may not be appropriate or helpful for another.

You are responsible for deciding whether a particular wellbeing activity is appropriate for you.

If you are uncertain about whether an activity is appropriate, you should seek advice from a suitably qualified professional before undertaking it.

3. Emergencies and crisis situations

Calmspire is not an emergency service.

You must not rely on Calmspire where you believe that you or another person is at immediate risk of serious harm, requires urgent medical attention, or is experiencing a mental health or other emergency.

If you believe that you or another person is in immediate danger, contact the appropriate emergency service in your country or seek urgent assistance from a qualified healthcare professional.

For users in the United Kingdom, this may include contacting 999, attending an emergency department, contacting NHS 111 where appropriate, or contacting an appropriate crisis or urgent mental health service.

Calmspire does not guarantee that any emergency, crisis or safety feature will:

  • identify an emergency;
  • accurately assess the seriousness of a situation;
  • notify another person;
  • contact emergency services;
  • operate without interruption; or
  • result in a particular response.

Any crisis, SOS, alert, wellbeing champion, notification or similar functionality is an additional wellbeing feature and must not be treated as a replacement for emergency services or professional care.

4. Eligibility and age requirements

4.1. Minimum age

Calmspire is intended for users aged 18 years and over, unless we expressly state otherwise.

You must not create an account or use Calmspire if you are under the applicable minimum age.

4.2. Accurate information

When creating an account, you agree to provide information that is accurate, current and complete.

You must not:

  • create an account using false information;
  • impersonate another person;
  • create an account for someone else without appropriate authority;
  • circumvent our age restrictions; or
  • provide information that you know to be materially inaccurate.

4.3. Verification

Where Calmspire introduces identity or age-verification functionality, you may be required to provide additional information or documentation.

Any information collected for verification purposes will be handled in accordance with our Privacy Policy.

5. Your Calmspire account

5.1. Account security

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You must notify us promptly if you believe that:

  • your account has been accessed without your permission;
  • your credentials have been compromised; or
  • another person is using your account.

You must not share your account credentials with another person.

5.2. One account

Unless we expressly permit otherwise, you may only maintain one personal Calmspire account.

5.3. Account suspension

We may temporarily restrict or suspend access to your account where reasonably necessary to:

  • protect users;
  • investigate suspected misuse;
  • investigate security incidents;
  • comply with legal obligations;
  • enforce these Terms;
  • prevent fraud or abuse; or
  • protect the Service.

Where appropriate, we will provide information about the reason for the restriction and any available appeal or complaint process.

6. Using Calmspire

You agree to use Calmspire responsibly and only for lawful purposes.

You must not:

  • use Calmspire for an unlawful purpose;
  • interfere with the operation or security of the Service;
  • attempt to gain unauthorised access to accounts, systems or networks;
  • reverse engineer or decompile the Service except where applicable law expressly permits this;
  • introduce malicious software or harmful code;
  • scrape, harvest or systematically extract information from the Service without permission;
  • use automated systems to access the Service except where expressly authorised;
  • copy or commercially exploit Calmspire content without permission;
  • misuse wellbeing, crisis or community features;
  • deliberately submit false information for the purpose of misleading the Service or another user;
  • use Calmspire to harass, threaten, intimidate or harm another person; or
  • use the Service in a manner that could reasonably place another user at risk.

7. Wellbeing content and recommendations

Calmspire may provide exercises, suggestions, reflections, prompts, recommendations or personalised wellbeing information.

Such content is provided based on the information and interactions available to Calmspire at the relevant time.

7.1. No guarantee of accuracy or suitability

Although we seek to provide useful and responsibly developed content, we do not guarantee that:

  • every piece of information will always be complete or current;
  • every recommendation will be suitable for you;
  • a particular exercise will produce a particular result;
  • the Service will correctly understand your circumstances;
  • personalised content will accurately reflect your emotional state; or
  • use of Calmspire will result in an improvement in your wellbeing.

7.2. Professional review

Some Calmspire content may be developed, reviewed or informed by appropriately qualified professionals.

Professional involvement does not mean that every feature, recommendation or output constitutes professional advice or clinical intervention.

8. AI-enabled features

Certain Calmspire features may use artificial intelligence, machine learning or other automated technologies.

Depending on the features available, these technologies may analyse information you voluntarily provide through the Service, such as written responses, voice inputs, images or other interaction data.

8.1. Wellbeing insights only

Where Calmspire provides an AI-generated wellbeing insight, pattern, reflection or indication of emotional state, that output is intended as a wellbeing insight and not as a medical or psychological diagnosis.

AI-generated outputs may be inaccurate, incomplete or inappropriate.

You should not make significant healthcare, medical, safety or other consequential decisions solely on the basis of an AI-generated output.

8.2. Facial or visual analysis

Where a feature uses facial or visual information to generate a wellbeing-related insight, the result should not be interpreted as an objective measurement of your emotions, psychological state or health.

Facial expressions and other visual signals can be ambiguous and may vary between individuals, cultures, environments and circumstances.

Calmspire does not represent that a facial or visual analysis can reliably determine how you feel or diagnose any condition.

8.3. Voice analysis

Where a feature uses voice or speech characteristics to generate a wellbeing-related insight, the result is an indicative technological output and not a clinical assessment or diagnosis.

Voice characteristics may be affected by numerous factors unrelated to emotional wellbeing, including environment, language, accent, illness, fatigue, microphone quality and other circumstances.

8.4. Human oversight

Where appropriate, Calmspire may provide information about the nature and limitations of automated features.

Automated outputs should be treated as supplementary information rather than definitive conclusions about you.

9. Community features

Calmspire may provide community, discussion, forum or other user-to-user functionality.

Where you participate in a Calmspire community, you may encounter content created by other users.

9.1. User-generated content

Other users’ posts, comments, messages and contributions represent the views of those users and not the views of Calmspire.

We do not guarantee the accuracy, reliability or appropriateness of user-generated content.

9.2. Community standards

You must not post, upload, transmit or share content that:

  • is unlawful;
  • threatens or encourages violence;
  • promotes self-harm or harm to another person;
  • sexually exploits or endangers a person;
  • is abusive, threatening, harassing or discriminatory;
  • contains another person’s confidential or personal information without lawful authority;
  • impersonates another person;
  • promotes criminal activity;
  • intentionally provides dangerous or materially misleading information;
  • constitutes spam or unsolicited commercial activity;
  • infringes another person’s intellectual property rights; or
  • otherwise violates these Terms.

9.3. Moderation

We may moderate community content using human moderators, automated systems or a combination of both.

We may remove, restrict, hide or otherwise moderate content where we reasonably consider this necessary to:

  • enforce these Terms;
  • protect users;
  • comply with law;
  • respond to reports;
  • address safety concerns; or
  • maintain the integrity of the community.

We do not guarantee that all harmful or inappropriate content will be identified or removed.

9.4. Reporting

If you encounter content that you believe violates these Terms or presents a safety concern, you should report it using the reporting functionality provided within Calmspire or contact us at:

support@calmspire.co.uk

Where applicable, we will investigate reports in accordance with our moderation and safety procedures.

9.5. Community is not professional support

Calmspire community features are not therapy groups, clinical services or emergency support services.

You should not assume that another user is a healthcare professional merely because of information contained in their profile or posts.

10. Your content

You retain ownership of content that you create and submit to Calmspire, subject to the rights necessary for us to operate the Service.

This may include journal entries, written reflections, posts, comments, images, audio, responses or other material that you voluntarily submit.

By submitting content to Calmspire, you grant us a limited, non-exclusive, worldwide licence to host, store, reproduce, process, display and otherwise use that content only to the extent reasonably necessary to:

  • provide and operate the Service;
  • display your content to you or the users with whom you have chosen to share it;
  • moderate and protect the Service;
  • maintain security;
  • investigate abuse or violations;
  • comply with legal obligations; and
  • provide functionality you have requested.

We will handle personal data in accordance with our Privacy Policy.

You must only submit content that you have the right to submit.

11. Intellectual property

All intellectual property rights in Calmspire, including the application, website, software, design, branding, logos, trademarks, graphics, interfaces, original content, text, functionality and underlying technology, belong to Calmspire LTD or our licensors unless expressly stated otherwise.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use Calmspire for your personal, non-commercial use.

You must not:

  • copy or reproduce Calmspire except as permitted by law;
  • modify or create derivative works from Calmspire;
  • sell, rent, sublicense or commercially exploit Calmspire;
  • remove proprietary notices;
  • reproduce Calmspire branding without permission; or
  • use Calmspire’s intellectual property to create a competing service.

12. Subscriptions and paid services

Certain Calmspire features may be available through paid subscriptions.

Before purchasing a subscription, you will be shown the applicable:

  • price;
  • billing period;
  • features included;
  • renewal terms; and
  • any other material information required by law.

12.1. Automatic renewal

Where a subscription automatically renews, it will renew for the applicable subscription period unless you cancel before the renewal date.

The applicable app store or payment provider may also provide additional information concerning subscription management.

12.2. Payment

Payments may be processed through third-party payment providers, including app-store providers.

You agree to provide accurate billing information and authorise the applicable provider to charge the applicable subscription fees.

12.3. Price changes

We may change subscription prices from time to time.

Where required by law, we will provide advance notice of a material price increase and give you an opportunity to cancel before the new price applies.

12.4. Cancellation

You may cancel your subscription in accordance with the cancellation process presented at the time of purchase or through the relevant app store or payment provider.

Deleting the Calmspire app does not necessarily cancel a subscription.

13. Digital content and your consumer rights

Nothing in these Terms affects rights that you have under applicable consumer protection law.

Where UK consumer law applies, consumers may have statutory rights relating to digital content and digital services.

Where a statutory cancellation right applies, you may generally have a 14-day cancellation period for certain digital-content contracts, subject to the statutory rules and exceptions.

Where digital content is supplied immediately following your request and you expressly agree to its supply during the cancellation period, applicable law may affect your cancellation rights.

We will provide any legally required information concerning cancellation and your statutory rights at the appropriate stage of the purchase process.

14. Third-party services

Calmspire may integrate with or provide links to third-party services, including:

  • app stores;
  • payment providers;
  • healthcare or wellbeing organisations;
  • counselling or professional-service providers;
  • notification providers;
  • analytics providers;
  • AI platforms;
  • authentication services; and
  • other external services.

Third-party services are governed by their own terms and privacy policies.

Calmspire is not responsible for the independent operation, availability, content or practices of third-party services.

Where Calmspire facilitates a connection to an external provider, that provider may have its own contractual relationship with you.

15. Availability and changes to Calmspire

We aim to keep Calmspire available and reliable, but we do not guarantee that the Service will always be:

  • available;
  • uninterrupted;
  • error-free;
  • secure against every possible threat;
  • compatible with every device; or
  • free from bugs or technical problems.

We may temporarily suspend access where reasonably necessary for:

  • maintenance;
  • security;
  • technical updates;
  • upgrades;
  • legal or regulatory requirements; or
  • circumstances outside our reasonable control.

We may modify, add, remove or discontinue features.

Where a change materially affects a paid service or your contractual rights, we will provide any notice required by applicable law.

16. Privacy and data protection

Your use of Calmspire involves the processing of personal information.

Our collection and use of personal information is explained in our Privacy Policy, which forms part of the information provided to you in connection with the Service.

Depending on the features you use, information provided to Calmspire may include sensitive wellbeing-related information.

We will process personal data in accordance with applicable data protection law.

Where Calmspire processes special category personal data, we will identify an appropriate lawful basis and special category condition as required by applicable law. The ICO confirms that health information and certain biometric information can constitute special category data and require additional protection.

Where explicit consent is required, it will be obtained separately and appropriately rather than being assumed merely from acceptance of these Terms.

You should read our Privacy Policy carefully before using features involving sensitive information.

17. Safety of wellbeing activities

Some Calmspire activities may involve physical or breathing exercises, movement, relaxation techniques or other activities.

You should use reasonable caution when undertaking any activity.

Stop an activity if you experience pain, significant discomfort, dizziness, breathing difficulties or other concerning symptoms.

Calmspire does not guarantee that every exercise is suitable for every individual.

If you have concerns about whether a particular activity is appropriate for you, seek advice from an appropriately qualified professional.

18. Limitation of liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

In particular, nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • breach of statutory rights that cannot lawfully be excluded or limited; or
  • any other liability that cannot lawfully be excluded or limited.

Subject to the above, to the maximum extent permitted by law, Calmspire will not be responsible for losses that:

  • were not reasonably foreseeable when the contract was formed;
  • arise from your failure to follow reasonable instructions or warnings;
  • arise from your misuse of the Service;
  • result from information supplied by third parties;
  • result from circumstances outside our reasonable control; or
  • arise from your reliance on Calmspire as a substitute for professional or emergency care.

Nothing in these Terms is intended to remove or restrict statutory consumer protections that apply to you.

19. Your responsibility

You are responsible for your decisions regarding how you use information, recommendations and wellbeing resources provided through Calmspire.

You acknowledge that digital wellbeing tools have inherent limitations and that Calmspire cannot know every aspect of your individual circumstances.

You should seek appropriate professional advice where your circumstances require it.

20. Termination

20.1. Your right to terminate

You may stop using Calmspire at any time.

You may also delete your account through the functionality provided within the Service or by contacting us at support@calmspire.co.uk subject to any applicable legal or contractual requirements.

20.2. Our right to terminate

We may suspend or terminate your access where:

  • you materially breach these Terms;
  • you engage in fraudulent or unlawful activity;
  • you create a significant safety or security risk;
  • continued provision of the Service becomes unlawful;
  • we reasonably believe termination is necessary to protect users or the Service; or
  • we discontinue the relevant Service.

Where appropriate and legally permissible, we will provide reasonable notice and an opportunity to resolve the issue.

20.3. Effect of termination

Following termination, your right to use Calmspire will cease.

Certain provisions of these Terms will continue to apply where their nature requires them to survive termination, including provisions concerning intellectual property, liability, dispute resolution and applicable law.

21. Account deletion and data

You may request deletion of your account in accordance with our Privacy Policy.

Deletion of an account does not necessarily require us to immediately delete every record associated with you where we are legally required or permitted to retain information, for example for:

  • legal compliance;
  • fraud prevention;
  • dispute resolution;
  • security;
  • accounting;
  • regulatory requirements; or
  • establishment, exercise or defence of legal claims.

Our Privacy Policy explains applicable retention periods and deletion practices.

22. Feedback

If you provide suggestions, ideas, feedback or recommendations concerning Calmspire, you agree that we may use that feedback to improve the Service without owing you compensation, provided that doing so does not involve unlawfully processing your personal information.

You retain ownership of any intellectual property you independently own in your feedback.

23. Changes to these Terms

We may update these Terms from time to time.

Where changes are material, we will take reasonable steps to notify you, including through the Service or by email where appropriate.

The updated Terms will become effective on the date stated at the beginning of the revised Terms.

Your continued use of Calmspire after the effective date of the updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

24. Complaints

If you have a complaint about Calmspire, please contact:

Email: support@calmspire.co.uk

Please provide sufficient information for us to understand the nature of your complaint.

We will review complaints fairly and take reasonable steps to respond.

Nothing in this section prevents you from exercising any statutory rights or pursuing any legal remedy available to you.

25. General terms

25.1. Entire agreement

These Terms, together with documents expressly incorporated into them, constitute the agreement between you and Calmspire concerning your use of the Service.

25.2. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where possible.

The remaining provisions will continue in full force.

25.3. No waiver

If we do not immediately enforce a provision of these Terms, this does not mean that we waive our right to enforce it later.

25.4. Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations where permitted by law, including in connection with a corporate restructuring, merger, acquisition or sale of the relevant business or assets.

25.5. Events outside our control

We will not be responsible for failure or delay caused by circumstances beyond our reasonable control, including major technical failures, telecommunications failures, cyber incidents, natural disasters, government action, industrial disputes or failures of third-party infrastructure.

26. Governing law and jurisdiction

These Terms are governed by the law of England and Wales, except where applicable mandatory consumer protection law in your country provides otherwise.

If you are a consumer, you may also have rights to bring proceedings in the courts of the jurisdiction in which you live where applicable law gives you that right.

For consumers ordinarily resident in England and Wales, the courts of England and Wales will have jurisdiction, subject to applicable consumer protection rights.
